These Evaluation Terms of Service (the “Agreement”) govern the temporary access and use of ZOOO’s proprietary product (the “Service”) by the entity receiving access (“Evaluator”). By accessing the Service, Evaluator agrees to these terms.
ZOOO grants Evaluator a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for the purpose of internal evaluation. The Service may not be used for any commercial, production, or revenue-generating purposes.
Evaluator shall not: (a) reverse engineer, decompile, disassemble, benchmark, or otherwise attempt to derive the source code or underlying ideas; (b) sublicense, transfer, or share access credentials with any third party; (c) copy, modify, or create derivative works of the Service; (d) use the Service to develop, market, or support any product or service competitive with ZOOO.
All intellectual property rights in and to the Service remain the sole and exclusive property of ZOOO. Evaluator acquires no rights except the limited license expressly granted herein. Any feedback provided to ZOOO may be freely used by ZOOO without restriction or obligation.
Evaluator acknowledges that the Service, its features, user interface, and related documentation are Confidential Information of ZOOO and are subject to the confidentiality obligations in the Mutual Nondisclosure Agreement (MNDA) between the parties.
This Agreement commences upon provision of access and continues for thirty (30) days unless terminated earlier by ZOOO. ZOOO may revoke access at any time for any reason. Upon termination, Evaluator must cease use of the Service and delete all related materials.
The Service is provided “AS IS” without warranty of any kind. ZOOO disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement.
In no event shall ZOOO be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or relating to this Agreement or the use of the Service.
This Agreement shall be governed by and construed under the laws of the State of New York, without regard to its conflicts of law rules. Exclusive jurisdiction and venue shall be in the federal or state courts located in New York City.
